Responsibilities KEY RESPONSIBILITIES

Reporting to the Vice President of Legal and Business Affairs for UPIE Acquisitions, your responsibilities will include:

•  Negotiating, drafting and reviewing development, co-production and co-financing agreements for television programmes and films, across all genres and territories
•  Dealing with all legal matters arising during the course of productions such as evaluating rights/chain of title issues, music and other legal clearance matters, guild/union issues, advertising, promotion and publicity issues.
•  Drafting and negotiating agreements for the acquisition and licensing of rights in films, programmes and other content
•  Supervising the International marketing and promotions clearance team
•  Assisting in the development of business processes and precedent documentation
Qualifications/Requirements •  UK legally qualified with substantial post-qualification experience.
•  Experience of working in film/television production for a studio, broadcaster or an independent production company.
•  Background of advising on film and television financing matters including bank documentation, completion agreements, security documents and commissioning agreements.
•  Experience of drafting and negotiating agreements for the acquisition and licensing of rights in film, programmes and other content.
•  A strong background in copyright and other intellectual property law matters.
•  Experience of managing one or more reports with a keen interest in acting as a mentor.
•  An ability to interact with a range of personalities and styles, and be able to establish effective relationships at all levels of the organisation.
•  A problem-solving approach.
•  Self-motivated and with a strong work ethic. Able to manage and successfully deliver a heavy workload.

Responsibilities Role Purpose
The Director, Business &amp; Legal Affairs will be part of a team handling negotiation and documentation of (and legal advice related to) license agreements and related agreements and matters for the Television Distribution, New Media and Digital Distribution groups.
Responsibilities

* Draft and negotiate contracts, including primarily agreements relating to the licensing of film and television content tor television and digital”/new media” customers worldwide in various media (including free, basic and pay television, SVOD, PPV/VOD, EST and other media).

* Draft and negotiate contracts relating to shareholdings in minority-owned joint ventures.

* Advise and coordinate with sales executives, marketing, technology experts and administrative personnel to identify and resolve business and legal issues (including issues relating to contract interpretation) and provide ongoing counsel, advice and support.

* Assist with resolving various types of issues by coordinating with sales executives, marketing and administrative personnel.

* Provide oversight of general legal and business practices and standards and oversight of certain litigation matters.

* Provide oversight of regulatory and other legal compliance matters relating to content distribution.

* Direct other special projects and perform other related duties as assigned by management.
Qualifications/Requirements Basic Qualifications

* JD from a law school of recognized standing.

* Minimum 5 years of professional experience practicing corporate/transactional law at a major law firm.
